These Terms and Conditions (“Terms”) govern your access to and use of the Learning Capital website, platform, and services available at learningcapital.site. Please read these Terms carefully before using our platform. By creating an account, browsing our job listings, enrolling in courses, or otherwise using our services, you agree to be legally bound by these Terms.

If you do not agree with any part of these Terms, you must discontinue use of our platform immediately.

1. Acceptance of Terms and Eligibility

By accessing or using Learning Capital, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are not prohibited from using our services under any applicable law. You agree that the information you provide during registration and throughout your use of the platform is accurate, current, and complete.

If you are accessing the platform on behalf of a school, university, district, or organization, you represent that you have the authority to bind that entity to these Terms, and all references to “you” in these Terms will include that entity.

Learning Capital reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe these Terms have been violated or if we determine that use of our platform poses a risk to other users or to the integrity of the platform.

2. Account Registration and Responsibilities

To access most features of Learning Capital, you must create an account. When registering, you agree to provide truthful, accurate, and up-to-date information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at support@learningcapital.site if you suspect any unauthorized use of your account or any breach of security. Learning Capital will not be liable for any loss or damage resulting from your failure to protect your account credentials.

You may not share your account with any other person, create multiple accounts for the same individual, or use another person’s account without their explicit permission. Accounts found to be shared or duplicated may be suspended or permanently terminated.

Educator accounts and institution accounts carry different access levels and responsibilities, which are described in more detail within the relevant sections of these Terms and within the platform itself.

3. Use of the Platform and Prohibited Conduct

Learning Capital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose — connecting educators with employment opportunities and professional development resources.

You agree not to use the platform for any of the following prohibited activities: posting false, misleading, or fraudulent job listings or educator profiles; scraping, copying, or harvesting user data or content from the platform without our express written consent; using automated scripts, bots, or crawlers to access the platform; uploading or transmitting any viruses, malware, or other harmful code; impersonating any person, institution, or organization; using the platform to harass, threaten, or discriminate against any user; attempting to gain unauthorized access to any portion of the platform or its underlying systems; using the platform to promote services or products unrelated to education employment or professional development without our consent.

Violation of these prohibitions may result in immediate account suspension, permanent termination, and where applicable, referral to law enforcement authorities.

4. Job Listings, Applications, and Placements

Learning Capital serves as a marketplace connecting educators with institutions and employers. We do not guarantee employment outcomes, interview invitations, or successful placements for any user of the platform.

Institutions posting job listings are solely responsible for the accuracy, legality, and completeness of the information in their listings. Learning Capital makes reasonable efforts to verify partner institutions but cannot guarantee the accuracy of every listing. Educators are encouraged to conduct their own due diligence before accepting any employment offer facilitated through our platform.

Educators who submit applications through Learning Capital consent to their profile information being shared with the institution or employer associated with the relevant listing. We are not party to any employment contract that results from a connection made on our platform, and we are not responsible for employment disputes, compensation disagreements, or workplace conditions that arise after placement.

Learning Capital does not charge educators any fee for browsing listings or submitting applications. Fees applicable to course enrollments and premium profile features are disclosed separately at the point of purchase.

5. Professional Development Courses and Payments

Learning Capital offers paid professional development courses for educators. Course pricing, content, duration, and access terms are described on each individual course page. By enrolling in a paid course, you authorize us to charge the payment method you provide for the listed course fee.

All payments are processed through secure third-party payment processors. We do not store your full credit card number or payment credentials on our servers. You agree to provide accurate and complete billing information and to update it as needed to ensure successful payment processing.

Course access is granted to the individual purchaser only and may not be transferred, shared, or resold. Completion certificates issued by Learning Capital are based on your individual course performance and are not transferable.

Refund requests for paid courses must be submitted within fourteen days of purchase and prior to completing more than 25% of the course content. Refunds are processed within ten business days of approval. We reserve the right to deny refund requests that do not meet these criteria.

6. Intellectual Property Rights

All content on the Learning Capital platform — including but not limited to course materials, written content, logos, graphics, interface design, software code, and data compilations — is the exclusive property of Learning Capital or our licensed content partners and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any platform content without our express written permission. You may download and print content solely for your own personal, non-commercial use and only where such downloading is explicitly permitted by the platform.

By submitting content to our platform — such as your educator profile, resume, portfolio materials, or forum posts — you grant Learning Capital a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content as necessary to operate the platform and provide our services. You retain ownership of any content you submit.

7. Third-Party Links and Services

Our platform may contain links to third-party websites, services, or resources, including partner institutions, external certification bodies, and professional associations. These links are provided for your convenience and do not constitute an endorsement of those third parties by Learning Capital.

We have no control over the content, privacy practices, or terms of use of third-party websites and are not responsible for any loss or damage that may arise from your use of those sites. We encourage you to review the privacy policy and terms of service of any third-party site you visit through a link on our platform.

Some features of our platform may integrate with third-party services such as LinkedIn, Google, or video conferencing tools. Your use of those integrations is also governed by the respective third party’s terms of service.

8. Disclaimers and Limitation of Liability

Learning Capital provides its platform and services on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of any content, job listings, or course materials on the platform.

To the fullest extent permitted by applicable law, Learning Capital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including but not limited to lost employment opportunities, lost profits, or data loss, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising from your use of the platform shall not exceed the total amount you have paid to Learning Capital in the twelve months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of the platform shall first be addressed through good-faith negotiation. You agree to contact us at support@learningcapital.site before initiating any formal legal proceedings.

If a dispute cannot be resolved through negotiation within thirty days, it shall be submitted to binding arbitration administered in Callahan County, Texas, in accordance with the applicable rules of arbitration. You waive any right to a jury trial or class action lawsuit with respect to any dispute arising from these Terms.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.

10. Changes to Terms and Contact Information

We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered users by email at least fourteen days before the updated Terms take effect, and we will post a prominent notice on the platform. Continued use of the platform after the effective date of any changes constitutes acceptance of the revised Terms.

If you disagree with any updated Terms, you must stop using the platform and may close your account by contacting us at support@learningcapital.site. Closing your account does not retroactively release you from obligations incurred under any prior version of the Terms.
