These Terms of Service (“TOS”) constitute a legally binding agreement between you and Learning Capital governing your access to and use of all services, features, content, and products available through our platform at learningcapital.site. These Terms of Service work in conjunction with our Privacy Policy, Cookie Policy, and Terms and Conditions, all of which are incorporated herein by reference.<\/p>

By using our platform in any capacity \u2014 as an educator, an institution, a course student, or a visitor \u2014 you agree to be bound by these Terms of Service in their entirety.<\/p>

1. Description of Services<\/h3>

Learning Capital is an education-focused digital platform providing the following core services: an educator career marketplace connecting K-12 teachers, college professors, school administrators, librarians, and corporate trainers with employment opportunities; a professional development course library offering paid and free learning content for educators; an institution portal allowing schools, universities, and organizations to post positions and browse verified educator profiles; a community hub offering peer networking, resource sharing, and mentorship matching; and supporting tools including salary guides, career resources, and a professional blog.<\/p>

We continuously develop and evolve our platform. New features, services, and content may be introduced, and existing features may be modified or discontinued, at any time. We will make reasonable efforts to notify users of significant changes that affect their use of the platform. Not all services are available in all geographic areas, and certain features may require a paid subscription or one-time purchase.<\/p>

2. User Accounts and Account Security<\/h3>

Access to the full features of Learning Capital requires registration and the creation of a user account. You agree to register only once, using accurate and complete information, and to keep your account information up to date. Accounts are personal and non-transferable. You are fully responsible for all activity that takes place through your account, whether authorized by you or not.<\/p>

You are responsible for selecting a strong password and maintaining its confidentiality. Learning Capital will never ask you for your password via email or telephone. If you receive any communication requesting your password, treat it as fraudulent and report it to us immediately at support@learningcapital.site<\/a>.<\/p>

We reserve the right to suspend or terminate your account if we detect unusual activity, violations of these Terms of Service, or behavior that poses a risk to other users or to the platform. In cases of suspension, we will make reasonable efforts to notify you and provide an opportunity to address the issue, except where immediate termination is necessary to prevent harm.<\/p>

3. Educator Profile Standards and Accuracy<\/h3>

Educators who create profiles on Learning Capital agree that all information provided \u2014 including qualifications, certifications, employment history, references, and credentials \u2014 is accurate, truthful, and current. Misrepresentation of qualifications, including claiming certifications or degrees not held, is a serious violation of these Terms of Service and may constitute fraud under applicable law.<\/p>

You agree to update your profile promptly when your circumstances change \u2014 for example, if a previously held certification expires or if your employment history changes. You are responsible for ensuring that any documents you upload, such as resumes or license copies, are authentic and belong to you.<\/p>

Learning Capital does not independently verify every credential listed on educator profiles, although we may conduct verification checks at our discretion, particularly for profiles that receive high visibility or are featured prominently on the platform. Discovery of fraudulent information will result in immediate account termination and may be reported to relevant licensing authorities.<\/p>

4. Institution and Employer Obligations<\/h3>

Schools, universities, libraries, corporate organizations, and other institutions that use Learning Capital to recruit educators agree to post only genuine, currently available positions. All job listing information, including compensation ranges, role descriptions, location, employment type, and required qualifications, must be accurate and kept current. Listings for positions that have already been filled must be removed promptly.<\/p>

Institutions agree to treat all educator applicants with professionalism and in compliance with applicable employment laws, including equal opportunity employment regulations. Learning Capital does not tolerate the use of our platform to facilitate discriminatory hiring practices based on race, color, national origin, religion, sex, disability, age, sexual orientation, or any other protected characteristic.<\/p>

Institutions agree not to use educator contact information obtained through Learning Capital for purposes other than the specific hiring engagement initiated on the platform. Unsolicited marketing, spam, or any form of contact unrelated to the position applied for is strictly prohibited.<\/p>

5. Course Enrollment and Academic Integrity<\/h3>

When you enroll in a course offered through Learning Capital, you agree to engage with the course content honestly and in accordance with the principles of academic integrity. You may not share course access credentials with others, distribute course materials beyond what is permitted for personal study, or misrepresent your completion of a course when applying for positions or certifications.<\/p>

Course completion certificates issued by Learning Capital represent your personal engagement with and completion of the course content. Attempts to circumvent course requirements \u2014 including using AI tools to complete assessments on your behalf, submitting work that is not your own, or falsifying progress data \u2014 are violations of these Terms of Service and will result in certificate revocation and account suspension.<\/p>

We reserve the right to modify course content, pricing, and availability at any time. Where a course is discontinued after enrollment, we will either provide a reasonable alternative or issue a refund for any unused portion of the enrollment.<\/p>

6. Community Standards and User-Generated Content<\/h3>

Learning Capital hosts community features including forums, discussion boards, and resource-sharing spaces. When participating in any community feature, you agree to maintain a respectful, professional, and constructive tone. You will not post content that is defamatory, harassing, discriminatory, obscene, or otherwise harmful to other members of the community.<\/p>

All content you post in community spaces remains your responsibility. By posting content, you represent that you have the right to share it and that it does not infringe the intellectual property rights of any third party. You grant Learning Capital a non-exclusive license to display, moderate, and where necessary, remove any content you post on the platform.<\/p>

We moderate community spaces and reserve the right to remove any content that violates our community standards, these Terms of Service, or applicable law. Repeated violations will result in loss of community access or full account suspension. Users who believe they have encountered content that violates our standards may report it using the reporting tools provided on the platform or by emailing support@learningcapital.site<\/a>.<\/p>

7. Platform Availability and Technical Support<\/h3>

We strive to maintain continuous, reliable access to the Learning Capital platform, but we do not guarantee uninterrupted availability. Planned maintenance windows, which may temporarily take the platform offline, will be communicated to users in advance via email and platform notifications where possible. Unplanned outages due to technical issues, infrastructure failures, or third-party service disruptions may occur without advance notice.<\/p>

We aim to respond to all support requests within two business days. We do not guarantee resolution timelines for complex technical issues, but we commit to keeping affected users informed of progress.<\/p>

Learning Capital is not liable for any loss of data, income, employment opportunity, or business resulting from platform downtime, technical errors, or service interruptions, to the maximum extent permitted by applicable law.<\/p>

8. Fees, Subscriptions, and Billing<\/h3>

Certain features and services on Learning Capital are available only through paid subscriptions or one-time purchases. All fees are displayed in US dollars and are clearly communicated at the point of purchase. By completing a purchase, you authorize us to charge the payment method you provide for the stated amount.<\/p>

For subscription-based services, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period \u2014 you will not be charged for the following period, but no refund is issued for the remaining days of the current period unless otherwise required by law.<\/p>

If a payment fails, we will make up to three retry attempts before suspending access to paid features. We will notify you by email of payment failures and provide an opportunity to update your payment information. Unresolved payment failures may result in account suspension after thirty days.<\/p>

9. Termination of Service<\/h3>

Either party may terminate the user relationship at any time. You may close your account by contacting us at support@learningcapital.site<\/a>. We may terminate or suspend your account with or without notice if we determine you have violated these Terms of Service, engaged in fraudulent activity, or acted in a way that harms other users or the platform.<\/p>

Upon termination, your right to access the platform ceases immediately. We will retain your data for the period described in our Privacy Policy, after which it will be deleted from our active systems. Data that is required to be retained for legal or compliance reasons will be maintained in secure, limited-access storage for the applicable retention period.<\/p>

Termination does not relieve you of any obligations incurred prior to termination, including outstanding payments or obligations relating to content you posted on the platform. Sections of these Terms relating to intellectual property, dispute resolution, limitation of liability, and governing law survive termination.<\/p>
